PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR PLATFORM. THIS DOCUMENT IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AND MEDIFIA.

Welcome to Medifia! These Terms and Conditions (“Terms”) govern your access to and use of the Medifia website, services, and applications (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

“Platform” refers to the Medifia website (medifia.com), applications, and related services.
“User” refers to any individual or entity that accesses or uses the Platform, including Practitioners and Hosts.
“Practitioner” refers to a qualified dental professional who registers and uses the Platform to book a Clinic Space.
“Host” refers to a clinic owner or an authorized representative who registers and lists a Clinic Space on the Platform.
“Clinic Space” or “Listing” refers to the dental clinic operatory and associated equipment and facilities made available by a Host for booking.
“Booking” refers to the agreement between a Practitioner and a Host for the use of a Clinic Space for a specified time.
“Booking Fee” refers to the total amount payable by the Practitioner for a Booking.
“Service Fee” refers to the fee Medifia charges a Practitioner for using the Platform.
“Commission” refers to the fee Medifia charges a Host for a confirmed Booking.

2. Description of Services

Medifia provides an online platform that connects Hosts who have available Clinic Spaces with Practitioners seeking to book such spaces. Medifia is a neutral facilitator and is not an owner, operator, or provider of dental clinics, nor is it an employer of Practitioners.

Our responsibilities are limited to:

Facilitating the availability of the Platform.
Serving as the limited payment collection agent for the Host.

Medifia is not a party to any agreement entered into between a Host and a Practitioner. We have no control over the conduct of our Users and disclaim all liability in this regard to the maximum extent permitted by law.

3. User Accounts and Verification

Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify Medifia immediately of any unauthorized use of your account.
Verification: You acknowledge that Medifia may, for transparency or fraud prevention purposes, ask you to provide a form of government identification, professional qualification certificates (e.g., Dental Council of India registration), or other information. While Medifia may facilitate certain checks, we do not guarantee the identity, qualification, or conduct of any User. Users are solely responsible for their own due diligence.

4. Financial Terms

For Hosts: The Host determines the booking price for their Listing. Medifia will deduct its Commission from the Booking Fee before remitting the payout to the Host.
For Practitioners: You agree to pay the Total Booking Fee for any Booking requested. This fee includes the price set by the Host plus Medifia’s Service Fee.
Payment: All payments will be processed through our third-party payment gateway. All fees are quoted in Indian Rupees (₹) and are inclusive of applicable taxes like GST, unless stated otherwise.
Cancellations and Refunds: All cancellations and refunds are subject to our Cancellation and Refunds Policy, which is incorporated herein by reference.

5. Obligations of Hosts

By listing a Clinic Space, you represent and warrant that you will:

Maintain the Clinic Space in a safe, clean, and professional condition, compliant with all applicable laws and dental council guidelines.
Ensure all equipment listed is in good working order.
Hold all necessary licenses, permits, and registrations to operate a dental clinic.
Maintain adequate professional and property insurance.
Provide accurate and truthful information in your Listing.
Not solicit Practitioners to make or receive bookings outside of the Medifia Platform.

6. Obligations of Practitioners

By booking a Clinic Space, you represent and warrant that you will:

Hold a valid, current, and unrestricted license to practice dentistry from the Dental Council of India (DCI) or the relevant state dental council.
Maintain your own professional indemnity/malpractice insurance at a level appropriate for the services you will provide.
Use the Clinic Space and its equipment responsibly, professionally, and only for its intended purpose.
Comply with all reasonable rules and protocols of the Host’s clinic.
Be solely responsible for all aspects of your dental practice, including patient care, billing, and record-keeping.
Not engage in any activity that attempts to solicit the Host’s patients for your own separate practice.

7. User Conduct and Prohibited Activities

You agree not to use the Platform to:

Violate any local, state, national, or international law.
Post any false, misleading, or fraudulent information.
Infringe upon the rights of any third party, including intellectual property rights.
“Scrape,” “crawl,” or “spider” any web pages or data contained in the Platform.
Use the Platform for any commercial purpose not expressly permitted by these Terms.
Circumvent the booking or payment system to avoid paying fees.

8. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of Medifia or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited license only for purposes of viewing the material contained on this Platform.

9. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. MEDIFIA MAKES NO WARRANTY THAT THE PLATFORM, LISTINGS, OR CLINIC SPACES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. MEDIFIA IS NOT RESPONSIBLE FOR ANY DAMAGES TO EQUIPMENT OR PROPERTY AT A HOST’S CLINIC.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIFIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS; OR (C) ANY DISPUTE BETWEEN YOU AND ANOTHER USER.

IN NO EVENT SHALL MEDIFIA’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE AMOUNT OF FEES PAID BY YOU TO MEDIFIA IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR TEN THOUSAND INDIAN RUPEES (₹10,000 INR) IF NO SUCH PAYMENTS HAVE BEEN MADE.

11. Indemnification

You agree to release, defend, indemnify, and hold Medifia and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your use of the Platform or your violation of these Terms.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts of Hyderabad, Telangana, India.

13. Termination

Medifia may, in its discretion and without liability to you, with or without cause, with or without prior notice and at any time, decide to limit, suspend, deactivate, or cancel your account.

14. General Provisions

Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between Medifia and you.
Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
No Waiver: Medifia’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.
